In 2012 Nadmitov, Ivanov & Partners successfully represented shareholders of the company Smartfin, which was developing an innovative payment method for bank cards, operating under the brand name 2can, in a deal aimed at gathering funding from InVenture Partners and Almaz Capital and a number of other private investors through the sale of shares in its Cypriot holding company in their interests.

Services provided included in particular an analysis of the subscription agreement and the shareholders agreement under English law, and the constituent documents of the Cypriot holding company.

  • Advising shareholders of a Russian company in the e-commerce sector on matters relating to corporate governance and obtaining a convertible loan from an investor;
